Compensation Plans for Cutting-Edge Investment Company

Cutting-edge investment company needed a way to incentivize key employees of portfolio companies without impacting immediate cash flow. Hasan designed and implemented a deferred compensation plan utilizing stock options (non qualified and qualified) that suited the needs of all parties. Armed with Hasan’s experience in tax, specifically section 409A and 83(b), the deferred compensation plan addressed and fulfilled the parties’ needs from a corporate, tax, and retention perspective.

Advising Entrepreneurs on Acquiring a New Business

Entrepreneurs found a terrific opportunity to purchase an existing business. Hasan worked closely with the client on the precise terms of the agreement drafting all the corporate documentation for this asset purchase deal while addressing and planning for numerous tax issues. The deal involved comprehensive documentation that not only protected their interests but also satisfied all parties involved. In facilitating the purchase, Hasan not only made the deal as tax-efficient as possible, but ensured a smooth closing for the client.

Corporate Structuring, IP and Tax for Software Start Up

Small software company at the start up stage, Hasan partnered with them advising on all aspects of the business including strategic protection of their intellectual property, the most important and valuable asset of a software company, through corporate structure and tax planning. Hasan implemented numerous business contracts including complex end user and other licensing agreements, NDAs, and other appropriate corporate documentation. We sat down and planned and focused on the company’s strategic plan for the next 1 to 5 years to ensure vision and direction. The company is expected to achieve at least $20 million in revenue this year.
